These Terms & Conditions (“Terms”) govern your use of the SpectrumCodes website and the services we provide. By using our website or engaging us, you agree to these Terms. In these Terms, “SpectrumCodes”, “we”, “us” and “our” refer to SpectrumCodes; “you” and “your” refer to the person or business using our website or services.
1. Who we are and what we do
SpectrumCodes builds and implements custom ERP systems for growing trade businesses. Our services include ERP implementation and customization (primarily on the Odoo platform), AI and automation tooling, data migration, hosting, training and ongoing support.
2. Use of our website
You may use our website for lawful purposes only. You agree not to misuse the website, interfere with its operation, attempt to gain unauthorised access, or use it to transmit harmful or unlawful content.
3. Price estimates
Our website includes an instant price estimator. Any figure it produces is a preliminary, non-binding estimate based on the answers you provide. It is not a quote, an offer or a contract. Final pricing depends on a detailed scope confirmed with you before any work begins, and may differ from the estimate.
4. Proposals, engagement and payment
Work begins only once we have agreed a scope and you have accepted a written proposal or statement of work. That proposal, together with these Terms, forms our agreement. Payment terms, milestones and deliverables will be set out in the applicable proposal. Unless stated otherwise, fees are exclusive of any applicable taxes.
5. Your responsibilities
To deliver our services we rely on your reasonable cooperation, including providing accurate information, timely access to relevant systems and data, and prompt feedback and approvals. Delays in providing these may affect timelines and cost.
6. Your data and ownership
The business data you put into, or ask us to migrate into, a system we build for you remains yours. On request, and subject to any outstanding fees, we will provide a full export of your data. We do not lock you in or hold your data hostage.
7. Intellectual property
Custom configurations and code we create specifically for you under a paid engagement become yours upon full payment, except for: (a) our pre-existing tools, libraries and know-how, which remain ours and which we license to you as needed to use your deliverables; and (b) third-party and open-source components, including Odoo, which remain subject to their own licenses. Our website content, branding and materials remain the property of SpectrumCodes.
8. Third-party platforms
Our services often build on third-party platforms and tools — most notably Odoo — and our website uses services such as Calendly for scheduling. Your use of those platforms is subject to their own terms and licenses, and we are not responsible for their availability, changes or conduct.
9. Support and response times
Any support commitments, including response times, apply only as described in your specific agreement or plan. Statements on our website (such as typical response times) describe our general approach and are not guarantees for every situation.
10. Warranties and disclaimer
We provide our services with reasonable skill and care. Except as expressly stated in a written agreement, our website and services are provided “as is” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the website will be uninterrupted or error-free.
11. Limitation of liability
To the maximum extent permitted by law, SpectrumCodes will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue or data. Our total liability arising out of or relating to the services will not exceed the fees you paid us for the specific services giving rise to the claim in the three (3) months before the claim arose. Nothing in these Terms limits liability that cannot be limited by law.
12. Confidentiality
Each party will keep the other’s non-public information confidential and use it only to perform under, or benefit from, our agreement.
13. Term and termination
Either party may terminate an engagement as set out in the applicable proposal, or with reasonable written notice where no term is stated. You will pay for services performed and expenses incurred up to termination. Provisions that by their nature should survive — including ownership, confidentiality and limitation of liability — survive termination.
14. Governing law
These Terms are governed by the laws of [your country / region], without regard to its conflict of law rules. The courts of [your country / region] will have jurisdiction over any dispute, unless applicable law requires otherwise.
15. Changes to these Terms
We may update these Terms from time to time. The “Last updated” date shows when they were last revised. Continued use of our website or services after a change means you accept the updated Terms.
